Senior Associate General Counsel - Transactions & Leveraged Finance (Hybrid)

About the Role:

As Senior Associate General Counsel, you will join our well-established legal team supporting Enova’s diverse product offerings with a focus on ongoing capital markets and corporate finance transactional matters, primarily in the US and some internationally. You must be nimble and professional to provide timely, pragmatic and business-savvy responses to stakeholders. In this role you will report to the General Counsel & Chief Compliance Officer.

Responsibilities:

  • Partner with and support business and legal colleagues across the organization to structure, launch, and consummate complex transactions, including financings, mergers, partnerships, and dispositions, and manage outside counsel on such matters, as necessary to accomplish legal and business objectives.  
  • Draft, review, and negotiate financing documents, including credit agreements, term sheets, security agreements, intercreditor agreements, and ancillary documents.
  • Stay abreast of legal and regulatory developments relevant to leveraged finance transactions, including changes in banking laws, securities regulations, and industry best practices.
  • Provide legal counsel and support on financing transactions (including revolving credit agreements, high yield notes, term securitizations, and warehouse securitizations), from deal structuring to execution and ongoing compliance, as well as strategic guidance to internal stakeholders on risk management and dispute resolution related to such transactions.
  • Advise and educate business partners about various legal issues affecting business transactions, especially those pertaining to intellectual property, privacy, data security, limitations of liability, and indemnification obligations, in particular to those specific to the consumer and small business financial services industries.
  • Contribute to post-transaction management of partnership relationships.
  • Advise business partners regarding the handling of disputes arising from contractual relationships.
  • Assist in public company representation and corporate governance matters, including oversight of updating and maintaining minute books and corporate records (board consents, LLC agreements, etc.).
  • Liaise with regulatory and compliance counsel to ensure compliance with applicable laws and regulations.
  • Assist in other transactional matters (strategic partnerships, M&A, etc.), as needed.
  • Lead cross-functional and direct teams to drive high impact initiatives for Legal and Enova.

Requirements:

  • A Juris Doctorate from an accredited law school and admittance in good standing with the Illinois state bar.
  • 8-12 years of relevant experience, ideally at both a top-tier law firm and as in-house counsel.
  • Significant experience drafting, reviewing and negotiating corporate finance documents. 
  • The ability to analyze contracts and state, federal, and international law and provide detailed recommendations to business partners.
  • The capability to analyze problems and craft a solutions-oriented approach in a fast-paced environment.
  • The ability to engage individuals and teams to ensure timely project completion.
  • The capacity and flexibility to develop new areas of expertise and the confidence to quickly learn and develop independence in key practice areas.
  • Experience or interest in developing an in-depth understanding of consumer financial services and industry is a must.
  • Experience working directly with business partners is a plus.
